TERMS AND CONDITIONS
These Terms and Conditions apply to the use of the ioTec events platform supplied by ioTec Limited. If you click on the checkbox to accept these Terms and Conditions, you agree to be bound by these Terms and Conditions and ioTec's Privacy Notice. If you do not accept these Terms and Conditions and ioTec's Privacy Notice, do not continue to use the ioTec events platform.
These Terms and Conditions shall remain in force unless terminated in accordance with the provisions herein.
TERMINOLOGY
In these Terms and Conditions:
The expressions we, us, our, and ioTec refer to ioTec Limited, a company incorporated under the laws of Uganda, with registered offices at Plot 9-21 Port Bell Road, Nakawa, Kampala, Uganda
ioTec Websites means https://events.iotec.io/
ioTec events Platform means the web-based software platform together with associated plugins, application program interfaces (APIs), sub-modules, services, and support infrastructure created and operated by ioTec that enables the creation of Event Listings, sale and distribution of tickets, acceptance of registrations, and collection, storage, and access of data relating to events.
Event Organizer, you and your, refer to a business that uses the ioTec events Platform to sell tickets for an event.
Event Listing means an event created by an Event Organizer using the ioTec events Platform that provides information about an event.
ioTecPay means a payment gateway solution provided by ioTec Limited, which facilitates collection of payments from customer’s mobile money wallets. ioTecPay also disburses payments to customers' mobile money wallets and commercial bank accounts within Uganda.
Listing Content means content an Event Organizer includes in an Event Listing.
Sensitive information means data that must be protected from unauthorized access to safeguard the privacy or security of a business.
Services means any services provided by ioTec to you in relation to an event, including access to the ioTec events Platform, registration and ticketing services, data capture, and additional services as described in Clauses 3, 7 and 8.
User means a person who registers for or acquires tickets for an event through the ioTec events Platform.
Your Event means an event for which you have registered or bought tickets using the Platform.
Liquidation Instructions refer to the specific details and directives provided by an event organizer to authorize the transfer of funds from their ioTecPay wallet to their designated bank account. These instructions typically include accurate banking information, such as the account number, bank name, branch details, and any other necessary information required to process electronic funds transfers. The event organizer must review, complete, and sign these instructions to ensure proper and secure disbursement of funds.
AMENDMENTS TO TERMS AND CONDITIONS
We reserve the right to amend these terms and conditions from time to time by either posting the changes on the ioTec Events Platform https://events.iotec.io/, or by giving you notice in accordance with Clause 20. It is your responsibility to check these websites for changes before creating each Event Listing. The amendments will not apply to an event if the Event Listing was created before notice of the amendment is given. Your use of the ioTec events Platform to create an Event Listing following notice will indicate that you agree to be bound by the terms and conditions as amended.
PROVISION OF SERVICES
ioTec supplies the ioTec events Platform for use by Event Organizers under a Software-as-a-service agreement. We do not represent you, the Organizer, nor are we an agent for you. The ioTec events Platform allows Event Organizers to create, manage, and accept payments for tickets purchased via the platform. As an Organizer, you are responsible for all aspects of your event, including compliance with any existing legislation and taxation requirements. ioTec provides the ioTec events platform as-is and makes no representation as to its applicability or suitability for your event. Please evaluate the platform to determine its suitability.
ioTec will provide the following Services on the ioTec events Platform for each Event Listing:
Ticket purchase
Collection and forwarding of ticket payments
Collection, storage, and access to User data
Electronic ticket delivery by email.
The Event Listing shall be hosted by ioTec on the ioTec events Platform
FEES AND PAYMENTS
We charge fees for Services as per the table below. These fees and charges are the default costs associated with operating your event on the ioTec events platform. ioTec reserves the right to modify our fees from time to time. All fee changes will be updated on our platform at https://events.iotec.io/.
The costs related to organizing and hosting events on the ioTec events platform are detailed in ioTec's Pricing Schedule and include the following:
Ticket and Transaction Fees: ioTec shall charge a percentage of the cost of each ticket sold as stipulated in the ioTec's Pricing Schedule.
Free Tickets: ioTec shall charge a base fee for each free ticket created as stipulated in the ioTec's Pricing Schedule.
Liquidation: ioTec shall charge a service charge on each disbursement that is made outside the event organizer’s liquidation instructions. Find charges in the ioTec's Pricing Schedule.
Tax: As an event Organizer you will bear all taxes associated with your event. ioTec requires all event Organizers to include their registered company information and provide ioTec with their Tax Identification number for reporting to URA. All taxes payable in accordance with national laws shall be paid by the Organizer and shall not be withheld by ioTec, unless it is in the reasonable opinion, and in ioTec’s sole discretion, that withholding of such taxes and payment to such taxing authorities is necessary to protect the interests of ioTec created under this Agreement. In the event of such, ioTec will make an accounting to You for any amounts withheld and paid to applicable taxing authorities
Please ensure that you receive independent tax advice regarding the treatment of taxes for your event.
REGISTRATION
To access the ioTec events Platform, you shall be required to register for an account at https://events.iotec.io/. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, and current.
We may use this information to verify your identity, the validity and/or legality of your transactions, and/or whether you qualify to use our Services.
You shall not be able to create an event over the ioTec platform unless you have provided accurate, current and complete information. By agreement to these terms and conditions, you agree that you shall not be eligible to claim for any payments over the ioTec platform for any ticket sold, unless and until you provide full and accurate Registration Data. We reserve the right to suspend or terminate your account and/or your access to our Services, and to withhold any payments otherwise due to you, if we believe that your Registration Data is inaccurate or incomplete.
ACCOUNT PASSWORD AND SECURITY
As part of the registration process, you will create a password for your account. You must maintain the confidentiality of the password and security of the account and are fully responsible for all use made of your account unless you can establish to our reasonable satisfaction that the use was unauthorized and did not result from a breach of these Terms.
You agree to:
Immediately notify ioTec of any unauthorized use of your password or account or any other breach of security; and
Ensure that you exit from your account at the end of each session.
USE OF THE IOTEC EVENTS PLATFORM
Upon registration on the ioTec Events platform, we will grant you access to and use of the ioTec events Platform. Access to and use of the platform shall be limited to the following;
Creating an event listing for purposes of ticket sale and distribution; and
Collecting, storing and accessing data pertaining to the platform users
You agree that you shall not:
Remove, alter or hide any of the content on the Events Website, other than your Listing Content;
Attempt to hack, expose vulnerabilities, or otherwise interfere with the operation of the ioTec events Platform other than your own, or any data stored on it; or
Attempt to monitor API calls, network traffic, or other data being transmitted to and from the ioTec events Platform
OTHER SERVICES
ioTec may, from time to time, offer additional services at an additional fee, including; validating tickets, and other activities that pertain to events organization.
These Terms and Conditions shall apply to the additional services.
YOUR DATA
You consent to ioTec retaining and using any data that you shall provide to ioTec, or which is obtained by ioTec in connection with Your Events from third parties, in accordance with ioTec's Privacy Notice. If there is no charge for ticketing at Your Event, the purposes for which that data may be retained and used by ioTec or its related entities include marketing in accordance with ioTec's Privacy Notice.
IOTEC TERMS AND CONDITIONS AND POLICIES
By accepting these terms and conditions, you agree to comply with the provisions herein as well as other policies related to the provision of the services.
Your Listing Content must include a statement of the terms on which tickets are sold to buyers, and your Privacy Policy. Your Privacy Policy must not be inconsistent with ioTec's Privacy Notice, and you must comply with both Privacy documents in the collection, storage, use and disclosure of User data.
All Listing Content, and your conduct in relation to the Event Listing, must comply with all applicable legislation, including applicable consumer protection laws.
PAYMENTS AND LIQUIDATION
ioTec supplies the ioTec events platform under a Software-as-a-service agreement. The platform offers a suite of functionality including the ability to collect payments for ticket purchases through ioTecPay.
Upon registering an event on the ioTec events Platform, a wallet shall be created for an events organizer in ioTecPay from which all proceeds from the ticket sales shall be collected.
ioTec shall be able to collect payments through bank and mobile money channels from users into the event organizer’s wallet.
You authorize ioTec to deduct and retain from payments it collects as set out below;
Any amount owed by you to ioTec;
If ioTec considers that you have breached these Terms and Conditions, an amount it considers sufficient to compensate ioTec for the breach;
If ioTec considers that any amount retained to meet possible claims is no longer required for that purpose, ioTec will remit that amount to you.
Funds collected through the platform shall only be eligible for withdrawal or liquidation after the scheduled event date has passed and the event has been confirmed as successfully held.
To facilitate this process, you are required to provide accurate and complete financial details by completing and submitting Liquidation Instructions, which will be used to enable the transfer of funds. ioTec accepts no responsibility for the recovery of lost funds as a result of incorrect banking or mobile money details being supplied to us.
CHANGES TO AN EVENT OR TICKET
It is the responsibility of the Event Organizer to notify all Buyers of any material changes to an event or the ticket which they have purchased through the ioTec events Platform, including changes to the venue, program, performers, speakers, presenters, facilities, quantity of the remaining tickets available or total tickets on offer.
Event Organizers shall not impose or purport to impose an additional entrance charge in respect of any ticket that has been sold through the ioTec events Platform.
CANCELLED EVENTS AND REFUNDS
If you cancel an event listed on the platform, you must notify ioTec immediately. You are required to refund all payments made by users for that event or offer an alternative solution that is acceptable to each affected user (such as a rescheduled event or ticket to a similar event) within five (5) working days of the cancellation.
If you do not provide evidence of refunds or alternative remedies within ten (10) working days of the cancellation, ioTec may, at its discretion, initiate a reversal of the funds to users on your behalf
All refunds made whether by you or by ioTec on your behalf shall beless any applicable transaction charges.
A refund/reversal feature will be available on the platform to enable you process refunds for cancelled events
Disclaimer: ioTec shall not be held liable for any claims or losses arising from your failure to issue timely refunds to users.
INTELLECTUAL PROPERTY
Intellectual property in the ioTec events Platform (including text, graphics, logos, icons, sound recordings and software) is owned by ioTec. Other than for the purposes of, and subject to the conditions prescribed under the applicable laws in Uganda, and except as expressly authorized by these Terms and Conditions or by ioTec in writing, you may not in any form or by any means:
Adapt, reproduce, store, distribute, print, display, perform, publish or create new works from any part of the ioTec events Platform; or
Reverse engineer, decompile, or otherwise try to access the source code, user flows or application architecture of the ioTec events Platform.
By registering on the ioTec events Platform and agreeing to these Terms, you grant ioTec in relation to the content that you may provide, a worldwide, irrevocable, and transferable licence, free of charge, with the right to sub-license, use, copy, modify, create derivative works, distribute, publicise and exploit it in any way that may be deemed appropriate by ioTec, with or without any further communication to you and without having to pay any amounts for such uses. All the above shall be understood as granting the indicated rights only to the maximum extent permitted by the applicable legislation.
WARRANTIES AND LIMITATION OF LIABILITY
ioTec doesnt give any express warranties in relation to the ioTec events platform or the services, including warranties that:
Your, or your users, will have continous access to, or usage of the ioTec events platform or the services; or
Data stored on ioTec servers will not be lost or corrupted;
It will be possible to restore your data from ioTec's back up media; or
It will be able to prevent unauthorized persons obtaining access to the ioTec events platform or your event listings.
Any condition or warranty which would otherwise be implied into these Terms and Conditions is excluded, unless it would be unlawful to do so.
ioTec’s liability to you in relation to the ioTec events platform, the events website, the services or these terms and conditions on any legal basis is limited, to the extent it is lawful to do so, to one or more of the following:
The supply of the services again; or
The payment of the costs of having the services supplied again.
INDEMNITY
You agree to indemnify ioTec from any claims, damages, costs, expenses and liabilities (including legal costs on an indemnity basis) arising out of or in connection with:
Your breach of these Terms and Conditions;
Any unauthorized disclosure or use of information obtained through use of the ioTec events Platform or an Event Listing by you, or by use of your account by any person;
Any contract between you and a User; or
Any amount paid by a User through your Event Listing that ioTec is required to repay, including payments that were as a result of fraud, or because the event was canceled.
SUSPENSION OF SERVICES AND ACCESS
ioTec may from time to time suspend the Services, deny you access to the ioTec events Platform, or delete your Event Listings if:
It is necessary to do so due to any technical failure of, or for the upgrading or preventative or remedial maintenance of ioTec’s computer systems and software;
In ioTec’s reasonable opinion, and in its sole discretion, your use of the ioTec events Platform or the Services, or your Event Content is unlawful;
Without ioTec’s prior written consent, you collect, or engage in conduct that is likely to result in the collection of Sensitive Information from Users;
In ioTec’s reasonable opinion, and in its sole discretion, it is required by law to do so; or
In ioTec’s reasonable opinion, and in its sole discretion, your use of the Services or the ioTec events Platform adversely affects other Event Organizers or Users, or the integrity of ioTec’s computer network.
ioTec may, on giving you two (2) working days’ notice, suspend your right to use the Platform and the Services to create new Event Listings if you breach these Terms and Conditions. Access will not be reinstated until the breach is remedied if capable of being remedied, and any loss, damage, costs and expenses incurred by ioTec in relation to the breach are compensated in full.
DATA PROTECTION AND PRIVACY
You shall comply with the Data Protection and Privacy Act, Cap. 97 and all applicable legislation on data protection and privacy.
We may collect, process and store personal data and other confidential information of individuals (Data Subjects) only as it relates and is required for the delivery of Services under these terms and conditions.
You represent and warrant that you have obtained all necessary consents and authorizations from the Data Subjects for the collection, processing, and storage of their personal data by us as necessary for the performance of KYC Services.
We warrant that we have all necessary licences to perform the processing activity required under these terms and conditions.
We shall use commercially reasonable efforts to ensure that any personal data processed on your behalf is accurate, complete, and up-to-date, and that appropriate technical and organisational measures are implemented to protect against unauthorised access, destruction, alteration, or disclosure of personal data.
TERMINATION
ioTec reserves the right to terminate its agreement with you and your access to the ioTec events Platform and Services at its sole discretion. You will be given at least two (2) weeks' notice before the termination takes effect.
When the agreement ends, ioTec may deactivate, delete, or block access to your account. Additionally, all event content and files associated with your account may be deleted, except for Future Event Listings (events scheduled but not yet held).
For Future Event Listings:
ioTec will retain the listings until seven (7) business days after the event date, or
If ioTec determines that the event will not happen as scheduled, the listings may be deleted sooner.
Clauses 9, 11, 13 to 18 and 22 survive termination or expiration of your agreement with ioTec.
NOTICE
Any notice under these Terms and Conditions shall be in writing. We may deliver notices to you by email to your email address as provided by you to us from time to time. Notice will be treated as given on receipt by the sender of the notification that the email has been received by the recipient’s email server.
But if the delivery or receipt is not on a business day or is after 5:00 pm on a business day in the place where it is received, the notice shall be considered received at 9:00 am on the next business day.
It is your responsibility to notify us of any changes to your contact details.
Any notice from you to us shall be sent in writing to our email address, or another email address notified by us to you.
GOVERNING LAW
These terms and conditions (their validity, interpretation, and enforceability) shall be governed by Ugandan law.
DISPUTE SETTLEMENT
Any dispute or claim relating in any way to use of the Services will be resolved through mediation, failing which the dispute will be submitted for arbitration in accordance with the Arbitration and Conciliation Act, Cap. 5
The seat of arbitration shall be Kampala, Uganda and the language of arbitration shall be English
Nothing shall prevent the parties hereto from seeking any relief from a court of competent jurisdiction in Uganda and or any other relevant regulatory body
PROHIBITED ACTIVITIES
To maintain the integrity, safety, and legality of the ioTec Events Platform, you agree not to use the platform for any unlawful, deceptive, harmful, or inappropriate purposes. ioTec reserves the right to remove any Event Listing or User Content, suspend or terminate accounts, freeze or block transactions, and report suspicious activity to relevant authorities where necessary.
You must not use the ioTec events Platform:
in a manner that is misleading or deceptive;
The rights and remedies herein provided are cumulative and not exclusive of any rights or remedies provided by law.
creating or promoting events with the intent to deceive, mislead participants, misrepresent the purpose of the event, or misuse collected funds
to infringe the intellectual property or other legal rights of any person or corporation;
to distribute or publish any material which is obscene, defamatory, threatening, or abusive, or which vilifies any group of persons, or to provide links to another website which contains such material;
for any purpose or activity, or in any manner which is unlawful, or to promote any such activity;
to access, store, distribute or use personal information in breach of any applicable legislation, ioTec's Privacy Notice or your Privacy Policy;
without ioTec’s prior written agreement, to collect from Users any Sensitive Information;
to interfere with or disrupt ioTec or its business, or those of users of the ioTec events Platform, or their computers, software or hardware, including by the propagation of computer worms and viruses; or scraping data, reverse engineering, or attempting unauthorized access to ioTec’s systems or those of its users or partners.
to access any computer or data without authorization.
posting spam, junk mail, unauthorized advertisements, or promotions such as contests, sweepstakes, and raffles without approval.
impersonating individuals or organizations, misrepresenting affiliations, accessing accounts without permission, or collecting user data without proper consent.
engaging in conduct that may cause reputational damage to ioTec, disrupt platform operations, or result in legal or financial exposure.
attempting to bypass or indirectly violate any provision of these Terms and Conditions.
any use of the platform that endangers or exploits minors, or solicits funds involving children without lawful authority and appropriate consent
using collected funds for purposes other than those explicitly stated in the event listing or failing to fulfill obligations promised to participants.
any activity that violates applicable laws, regulations, regulatory guidelines, or ioTecPay terms.
ioTec may, at its sole discretion, investigate any user or event activity, including through user reports or publicly available information. We reserve the right to take any action deemed appropriate, including suspension, reversal of payments, removal of content, or referral to relevant authorities without any notice to you.
